The demand for accountability to social administrators: legal regime. Evolution and current status.

The reform got in the LSA by the Law 26/03 “ of Transparency “ introduces acatalogue of duties of the manager/director for with the administered society. Itseems to imply, two different situations deduced from the articles 133 to 135 of theLSA exactly to the exigency of responsibility to the social managers:An Social Acción, properly mercantile, proceeding when the manager damagesthe society who administers. It will to be based according to the art. 133 in acts oromissions realized breaking the duties inherent in the performance(discharge) of thecargo, predicables for with the society, and it will be able to exercise, according tothe art. 134, for the society, for the associates or for third if neither the society northe associates initiate it.
An Individual Acción remembered by the art. 135, ejercitable for third or associatedirectly damaged by the manager, who is not based on the duties of the managerfor by the society, but on norm contained in the own LSA - for example exampleon the cases of the art. 262-or in any other one of the Classification, as the responsibilityextracontractual of 1902 of the Civil Code. This one is not necessarily mercantile,nature will come determined by that of the norm of foundation.
